Business infrastructure

Expansion needs more than a plan. We support the whole of what has to exist before and after a company begins operating in Bulgaria.

Disciplines

The base of a long-term investment

None of the three is the investment. They are the base it stands on, and a base built properly is what lets a company commit for a decade rather than a budget cycle. We take the three as one brief, with one party accountable for the structure.

01

Legal

Company formation, contracts, compliance.

Entity formation and registration
Statutes and shareholder terms
Commercial and employment contracts
Ongoing compliance obligations
02

Market research

Demand, competition, pricing, positioning.

Demand sizing and segmentation
Competitor and pricing mapping
Positioning for the local market
Regulatory conditions of entry
03

Human resources

Hiring, employment structure, retention.

Role design and cost modelling
Recruitment and selection
Employment structure and payroll
Retention and progression

Set up once, and set up properly.

Infrastructure assembled in a hurry is corrected later at a higher price. We build it to hold for the life of the entity, not for the first quarter.

Where we come in

Four points of entry

A mandate does not have to start at the beginning. Most begin at one of these four points.

01Establishment

Formation, registration, first contracts and first hires — the work that has to be right before anything else can start.

02Transition

Taking over an entity established by someone else, and correcting what was set up for a different purpose.

03Consolidation

Reviewing an operation that already runs: what the structure now costs, where it strains, and what it can carry.

04Second phase

Extending a working entity into new functions, a larger headcount or an additional line of business.

Timeline

How long each takes

Indicative durations for a straightforward case. Regulated sectors and non-EU shareholders extend the first two.

01
Establishment
From instruction to a registered entity able to contract and employ.
6–10 weeks
02
Transition
Review of what exists, followed by the corrections that cannot wait.
4–8 weeks
03
Consolidation
Assessment of the running structure, its cost and its capacity.
3–6 weeks
04
Second phase
Depends entirely on the functions being added and the headcount involved.

Knowing who to bring in

No practice understands every discipline to the depth it deserves, and one that says otherwise should not be believed. What years in a market actually give you is knowing who does each thing well here, and being able to reach them. Those connections are as much a part of business infrastructure as the entity itself.

Where specialist work is needed — notarial, audit, payroll, immigration — it goes to firms we have worked with here before and whose output we are prepared to stand behind. The company gets the best in each field rather than whoever we happen to employ.

We do not hold every discipline in house. We know who does.

One counterparty

One brief, one point of accountability.

Whether the mandate begins before the entity exists or after it is running, the company deals with us — not with a panel of advisors it has to coordinate in a market it does not yet know.
